Affiliate Agreement

Introduction and Acceptance
This Affiliate Agreement ("Agreement") is a legally binding contract between ClearStack B.V., operating under the brand quicksrv.io ("Company", "we", "us", or "our"), and you, the participant in our affiliate program ("Affiliate", "you", or "your").
By submitting an affiliate application, ticking the acceptance box, or participating in the program in any way, you acknowledge that you have read, understood, and agree to be bound by this Agreement, together with our Terms of Service, Acceptable Use Policy, and Privacy Policy, each incorporated by reference. If any conflict arises, this Agreement governs matters specific to the affiliate program.
You must be at least 18 years old and have the legal capacity to enter into this Agreement. If you act on behalf of a company, you warrant that you are authorised to bind it.
Definitions
For the purposes of this Agreement:
Referral Link
means the unique tracking URL or referral code issued to you upon approval, used to attribute new customers to you.
Referred Customer
means a new quicksrv.io customer who signs up through your Referral Link and is attributed to you before placing their first paid order.
Qualifying Payment
means a successful, non-refunded payment made by a Referred Customer for eligible self-serve hosting services (KVM Cloud VPS and cPanel Hosting).
Commission
means the amount you earn on each Qualifying Payment, calculated on the net (ex-VAT) revenue at your applicable tier rate.
Clawback Window
means the 30-day period after a Qualifying Payment during which a commission remains pending and may be reversed.
Enrollment and Approval
Application
Participation requires a completed application providing your full name, postal address, country, phone number, and bank details for payouts. You must provide accurate, complete, and current information and keep it updated.
Approval at Our Discretion
All applications are reviewed manually. We may approve or reject any application at our sole discretion, without obligation to provide a reason. No Referral Link is issued, and no commission accrues, until your application is approved.
No Employment Relationship
You participate as an independent contractor. Nothing in this Agreement creates an employment, agency, partnership, or joint-venture relationship. You have no authority to bind or make commitments on behalf of the Company.
Referral Tracking and Attribution
How Attribution Works
When a visitor arrives through your Referral Link, a referral cookie is stored on their device. Attribution is recorded when that visitor creates an account, provided they have not previously placed a paid order.
Single, First-Touch, Locked
A customer can be attributed to one Affiliate only. Attribution is locked once the customer places their first paid order and cannot be transferred or reassigned thereafter.
No Guarantee
We do not guarantee that all referrals will be tracked. Factors outside our control — including ad blockers, privacy settings, cookie deletion, and cross-device journeys — may prevent attribution. We are not liable for untracked referrals.
Commissions
Recurring Commission
You earn a Commission on each Qualifying Payment a Referred Customer makes — including the initial order and every subsequent renewal — for as long as they remain an attributed, paying customer.
Tiers
Your rate is determined by your number of active Referred Customers: Bronze 15%, Silver 20% (5+ active customers), and Gold 25% (15+ active customers). We may apply a custom negotiated rate where expressly agreed in writing.
Commission Base
Commission is calculated on the net revenue of each Qualifying Payment, excluding VAT and any other taxes, and after any discounts applied to the customer.
Maturation
Each Commission accrues with a "pending" status and becomes "available" for payout after the 30-day Clawback Window has elapsed without reversal.
Eligible Services
Only quicksrv.io self-serve hosting generates Commission. Sales-led, agency, colocation, LIR, and network services are excluded. We may change the list of eligible services on a forward-looking basis.
Payment Terms
Payout Method
Commissions are paid exclusively by bank transfer to the account named in your approved application. We do not offer wallet credit, cash, cheque, or cryptocurrency payouts under this program.
Minimum Threshold
You may request a payout once your available (matured) commission balance reaches €50. Requests below this threshold cannot be processed.
Payout Review
Payout requests are reviewed before disbursement. We may withhold or delay a payout pending verification, suspected fraud, chargeback investigation, or compliance checks.
Accurate Bank Details
You are responsible for the accuracy of your bank details. We are not liable for funds sent to an incorrect account due to information you provided, and any bank fees arising from incorrect details may be deducted.
Taxes
You are solely responsible for declaring and paying any taxes, duties, or social contributions due on your commissions in your jurisdiction. Commissions are stated exclusive of any such taxes.
Clawbacks, Refunds and Adjustments
If a Qualifying Payment is refunded, reversed, charged back, or otherwise cancelled, the associated Commission is reversed. Commissions that are still pending or available at the time are clawed back; where a commission has already been paid out, we may deduct the equivalent amount from future commissions or invoice you for it. We may also correct commissions resulting from error, fraud, or system fault at any time.
Prohibited Promotion Methods
To protect customers and our brand, the following are strictly prohibited and may result in forfeiture of commissions and termination:
Self-Referral
You may not refer yourself, sign up through your own Referral Link, or arrange referrals primarily for your own benefit or that of connected persons or accounts.
Spam and Unsolicited Messaging
You may not promote your Referral Link through unsolicited email, SMS, instant messages, comment spam, or any communication that violates anti-spam laws.
Misrepresentation
You may not make false, misleading, or exaggerated claims about quicksrv.io, its pricing, performance, or features, or imply that you are the Company or speak on its behalf.
Brand Bidding and Cookie Stuffing
You may not bid on quicksrv, quicksrv.io, or confusingly similar terms in paid search, nor use cookie stuffing, forced clicks, iframes, typosquatting, or any deceptive tracking technique.
Coupon and Incentive Abuse
You may not operate unauthorised coupon sites, fabricate discounts, or induce sign-ups through cashback or incentive schemes not approved by us.
Trademark and Domain Misuse
You may not register domains, social handles, or app names containing our trademarks, or use our trademarks in a way that implies official status or endorsement.
Use of Brand and Marketing Materials
We grant you a limited, non-exclusive, revocable, non-transferable licence to use our name, logos, and approved marketing materials solely to promote quicksrv.io in accordance with this Agreement. You must follow any brand guidelines we provide, must not modify our marks, and must cease all use immediately upon termination. All goodwill arising from your use of our brand inures to the Company. We may review and require removal of any promotional content at our discretion.
Data Protection
Each party shall comply with applicable data protection law, including the GDPR. You must not collect, store, or transmit personal data of referred users beyond what is necessary and lawful, and must not represent that you process personal data on our behalf. Our handling of your personal and payout data is described in our Privacy Policy.
Confidentiality
You may receive non-public information in connection with the program, including commission structures, statistics, and program mechanics. You shall keep such information confidential, use it only to participate in the program, and not disclose it to third parties except as required by law. This obligation survives termination.
Term and Termination
Term
This Agreement begins on approval of your application and continues until terminated by either party.
Termination for Convenience
Either party may terminate participation at any time, for any reason, on notice. You may stop using your Referral Link at any time.
Termination for Cause
We may suspend or terminate your participation immediately, and withhold or forfeit unpaid commissions, if you breach this Agreement, engage in fraud or prohibited promotion, or bring the Company into disrepute.
Effect of Termination
Upon termination, your Referral Link is deactivated and no further commissions accrue. Subject to the clawback and fraud provisions, commissions already matured and validly earned before termination remain payable once they meet the payout threshold, unless termination is for cause involving fraud or abuse.
Disclaimers and Limitation of Liability
The program is provided "as is" without warranties of any kind. We do not guarantee any minimum earnings, traffic, conversions, or program continuity. To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, or consequential damages, and our aggregate liability under this Agreement shall not exceed the total commissions paid or payable to you in the three (3) months preceding the event giving rise to the claim. Nothing limits liability that cannot be limited by law.
Modifications
We may modify this Agreement, commission rates, tiers, eligible services, the clawback window, and payout thresholds at any time. Non-material changes take effect on publication; material changes will be notified by email or in the panel and apply on a forward-looking basis. Your continued participation after the effective date constitutes acceptance. If you do not accept a change, your sole remedy is to stop participating.
Governing Law and Jurisdiction
This Agreement is governed by the laws of the Netherlands, excluding its conflict-of-law rules. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the competent courts in Amsterdam, Netherlands, save where mandatory law provides otherwise.
